Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Norshin LLC ("AmeritAI", "we", "us"), a limited liability company registered in the Commonwealth of Virginia, United States, which operates the AmeritAI platform. By accessing or using the Service, creating an account, or clicking to accept, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.

2. Service Description

AmeritAI is an AI-powered customer-communication platform that enables businesses to automate conversations across websites and third-party messaging platforms — including Meta services (Facebook Messenger, Instagram, WhatsApp), Telegram, SMS, and voice — using artificial intelligence. The Service also provides related tools such as knowledge-base management, appointment booking, lead capture, campaigns, analytics, and optional handoff to a human representative. Available features and usage limits depend on the plan you select. We may add, modify, or discontinue features from time to time.

3. Eligibility

You must be at least 18 years old and able to form a binding contract, and you must not be barred from using the Service under applicable law, including US export-control and sanctions laws. The Service is intended for business and professional use.

4. Accounts and Account Security

You are responsible for providing accurate account information, for safeguarding your credentials, and for all activity that occurs under your account. You must notify us promptly at privacy@ameritai.com of any unauthorized use. We may require identity or business verification before enabling certain features or integrations.

5. Subscriptions, Billing, and Renewal

Paid plans are billed in advance on a monthly or annual basis through our payment processor (Stripe). Unless you cancel before the end of the current billing period, subscriptions renew automatically for another period at the then-current price. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current period. Fees are exclusive of taxes, which you are responsible for. Fees are non-refundable except where required by law or expressly stated (for example, a promotional trial). We may change pricing with reasonable prior notice, effective on your next renewal. If a payment fails, we may suspend or downgrade the Service until payment is resolved.

6. Customer Data and Ownership

As between the parties, you retain ownership of all customer conversations, uploaded knowledge bases, documents, and business data you provide or generate through the Service ("Customer Data"). You are the controller of Customer Data and are responsible for having a lawful basis and any required notices or consents to collect and process it, and for the content your assistant is configured to send. You grant us a limited, worldwide, non-exclusive license to host, process, and transmit Customer Data solely to provide and support the Service, consistent with our Privacy Policy. We do not sell Customer Data.

7. AI-Generated Content

The Service uses artificial-intelligence models to generate responses. AI-generated responses may contain inaccuracies or be incomplete and should not be relied upon as legal, medical, financial, or other professional advice. You are responsible for configuring your assistant appropriately and for reviewing AI outputs before relying on or acting on them. The Service does not make legally binding or similarly significant decisions about individuals solely by automated means without human involvement.

8. Acceptable Use

You agree not to, and not to allow any end-user or third party to, use the Service to:

• send spam or unsolicited messages, or message anyone without a lawful basis or required consent;
• distribute malware, ransomware, or other malicious code;
• engage in phishing, fraud, deception, or impersonation;
• publish hate speech, harassment, threats, or content that incites violence;
• distribute adult content involving minors, or non-consensual or otherwise unlawful sexual content;
• promote illegal products, services, or activities;
• infringe intellectual-property, publicity, or privacy rights;
• collect sensitive personal data (e.g., payment card numbers, government IDs, health data) through the assistants; or
• violate the terms or policies of any connected third-party platform.

You also agree not to interfere with, reverse engineer, abuse, overload, circumvent security controls of, or attempt unauthorized access to the Service or its APIs, and to respect applicable rate limits. We may remove content or suspend access to enforce this section. See our Acceptable Use Policy for details.

9. Third-Party Services and Platforms

The Service relies on third-party providers, including Meta, Google, Anthropic, OpenAI, Stripe, Twilio, and others, and integrates with third-party messaging platforms. Your use of connected channels is also governed by those platforms' own terms and policies — for example, the Meta Platform Terms and WhatsApp Business policies. Availability and functionality may depend on these providers, whose policies and services may change or be discontinued. We are not responsible for third-party services.

10. Intellectual Property

The Service, including its software, design, models, and branding, is and remains the exclusive property of Norshin LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service. Customer Data remains yours as described in Section 6.

11. Service Availability and Beta Features

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted, timely, secure, or error-free operation, and we provide no service-level commitment unless separately agreed in writing. We may perform maintenance or updates that temporarily affect availability. Features labeled beta, preview, or experimental are provided "as is," may change or be discontinued at any time, and may not be as reliable as generally available features.

12. Confidentiality

Each party may access the other's non-public information ("Confidential Information"). The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel or providers bound by confidentiality obligations. Confidential Information does not include information that is public, independently developed, or rightfully obtained without restriction, and may be disclosed if required by law. We treat Customer Data as your Confidential Information.

13. Privacy and Data Protection

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. A list of our subprocessors is available at ameritai.com/subprocessors, and business customers may request a Data Processing Addendum (DPA) at privacy@ameritai.com. 14. Suspension

We may suspend your access to all or part of the Service, with notice where practicable, for: abuse or violation of these Terms; fraud; non-payment; security incidents or risk to the Service or others; or violation of applicable law or a connected platform's policies. We will restore access once the underlying issue is resolved, where appropriate.

15. Termination

You may stop using the Service and cancel your subscription at any time. We may terminate or suspend your account for material breach, repeated violations, non-payment, or where required by law or to prevent harm. On termination, your license to use the Service ends and access ceases. You may export or request deletion of Customer Data as described in our Privacy Policy, subject to legal retention requirements. Sections that by their nature should survive termination (including Sections 6, 10, 12, 16–24) will survive.

16. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of AI-generated output. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

17. Limitation of Liability

To the maximum extent permitted by law, Norshin LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

18. Indemnification

You agree to indemnify, defend, and hold harmless Norshin LLC and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your Customer Data or content, or your violation of these Terms, applicable law, or third-party rights.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law rules. The parties will first attempt to resolve any dispute informally. If unresolved, any dispute will be brought exclusively in the state or federal courts located in Virginia, and you consent to their personal jurisdiction and venue.

20. Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including outages or changes at third-party providers (such as cloud, messaging, or AI providers), internet or telecommunications failures, natural disasters, war, terrorism, civil unrest, labor disputes, or governmental action.

21. Export Controls and Sanctions

You represent and agree that you will comply with all applicable US export-control and economic-sanctions laws. You may not use the Service if you are located in, or are a national or resident of, an embargoed or restricted region, or if you are on a US restricted-party or sanctions list, and you will not use the Service for any prohibited end use.

22. Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues; otherwise, it is permanently barred, except where a longer period is required by applicable law.

23. Severability and Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. No waiver by Norshin LLC of any term or condition will be deemed a further or continuing waiver of that term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms will not constitute a waiver of that right or provision.

24. Entire Agreement

These Terms, together with our Privacy Policy and, for paid plans, our Subscription Agreement (each incorporated by reference), constitute the entire agreement between you and Norshin LLC regarding the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral. In the event of a direct conflict, the Subscription Agreement governs the commercial terms it addresses.

25. Changes to These Terms

We may modify these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date, and, where appropriate, we will provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
